NOIRELITH is powered by Shopify, which enables us to provide the Services to you.

Many NOIRELITH products are made to order. Small variations in print placement, garment texture, color tone, and production details may occur and do not constitute defects.

We reserve the right to discontinue, limit, or restrict the sale of any product to any person, geographic region, or jurisdiction at our sole discretion.
SECTION 3 - ORDERS
When you place an order through our store, you are making an offer to purchase the selected product or products.
NOIRELITH reserves the right to accept, reject, limit, modify, or cancel any order at our sole discretion.
Your order is not accepted until we confirm acceptance and successfully process your payment.
We may cancel or refuse an order for reasons including, but not limited to:

- Errors in product descriptions, pricing, promotions, or shipping information;
- Suspected fraud or unauthorized transactions;

- Restrictions imposed by payment processors, carriers, suppliers, or applicable law.
Please review your order carefully before submitting it. Because many products are made to order, cancellation requests may not be possible after an order has been accepted or production has begun.

Products sold through this store are intended for personal, non-commercial use only. You may not purchase products for resale, export, or commercial distribution without our prior written approval.

The price charged for a product is the price displayed at the time your order is placed, subject to correction of pricing errors.

Our products may be made to order and may require production time before shipment.
Estimated production and delivery times are provided for general reference only and are not guaranteed.
We are not responsible for shipping or delivery delays caused by carriers, customs authorities, weather conditions, supply-chain disruptions, inaccurate customer information, force majeure events, or circumstances beyond our reasonable control.
Once an order has been transferred to the carrier, title and risk of loss pass to you, except where otherwise required by applicable law.
You are responsible for providing an accurate and complete shipping address. We are not responsible for delays, failed deliveries, or lost packages caused by inaccurate, incomplete, or undeliverable address information supplied by you.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
NOIRELITH is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make through our store are made directly with NOIRELITH, not Shopify.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales, purchases, fulfillment, customer service, product quality, shipping, refunds, exchanges, damages, injuries, losses, or disputes arising from transactions between you and NOIRELITH.
You expressly release Shopify and its affiliates from claims, damages, liabilities, or losses arising from or related to your purchases and transactions with NOIRELITH.

Termination of your access does not affect any payment obligations or liabilities incurred before termination.

We do not warrant that the Services will be secure, uninterrupted, timely, accurate, complete, reliable, or free from errors, viruses, defects, or harmful components.
We do not guarantee that product images, descriptions, colors, sizing, availability, delivery estimates, or other content on the Services will always be accurate or complete.
Some jurisdictions do not allow limitations on implied warranties, so some of the above limitations may not apply to you.
SECTION 17 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, NOIRELITH, its owners, officers, directors, employees, contractors, affiliates, licensors, service providers, and suppliers shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or similar damages arising from or related to:

(b) your purchase, use, or inability to use any product;
(c) product delays, shipping delays, delivery issues, lost packages, customs delays, or carrier issues;
(d) errors, inaccuracies, omissions, or interruptions in the Services;
(e) unauthorized access to or use of your account, payment information, or personal information;
(f) third-party tools, websites, services, products, or content; or
(g) any other claim related to the Services or products purchased through the Services.
This limitation applies even if NOIRELITH has been advised of the possibility of such damages.
To the fullest extent permitted by law, NOIRELITH’s total liability for any claim arising out of or related to the Services or products purchased through the Services shall not exceed the amount you paid to NOIRELITH for the specific product giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless NOIRELITH, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers, and suppliers from and against any claims, liabilities, damages, losses, expenses, costs, or demands, including reasonable attorneys’ fees, arising from or related to:
(i) your breach of these Terms;
(ii) your violation of applicable law;
(iii) your violation of the rights of another person or entity;
(iv) your misuse of the Services; or
(v) content, information, or Feedback submitted by you.
We may assume control of the defense of any matter subject to indemnification by you, and you agree to cooperate with us in the defense of such matter.

The unenforceable portion shall be deemed severed from these Terms, and the remaining provisions shall remain valid and enforceable.

These Terms supersede all prior or contemporaneous communications, agreements, proposals, or understandings, whether oral or written, relating to the Services.

These Terms of Service and any separate agreements through which we provide products or Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
You and NOIRELITH agree that any dispute arising out of or related to these Terms, the Services, or products purchased through the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, United States, except where applicable law requires otherwise.
